1. Agreement to Terms
By accessing or using the services provided by Audionexarithm ("the Studio," "we," "us," or "our"), located at 3400 Sonoma Blvd, Vallejo, CA 94590, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use our services. These Terms apply to all visitors, users, clients, and any other persons who access or use our services, whether through our website, email communication, file transfer systems, or any other means of interaction with the Studio.
2. Description of Services
Audionexarithm provides professional audio engineering services, including but not limited to:
- Professional track mixing from multitrack stems
- Stereo and stem mastering for music distribution and streaming platforms
- Frequency correction, clipping repair, and noise reduction
- Loudness optimization for platform-specific delivery standards
- Audio restoration and spectral repair services
The specific scope, deliverables, timeline, and pricing of each project are determined on a per-project basis and communicated to the client before work begins. Any verbal or written agreements made between the Studio and the client regarding a specific project will supplement these Terms, and in the event of a conflict between a project-specific agreement and these Terms, the project-specific agreement will prevail to the extent of the conflict.
3. Client Responsibilities
By engaging our services, you represent and warrant that:
- You own or have obtained all necessary rights, licenses, and permissions for the audio content you submit to us for processing. This includes any samples, vocal performances, instrumental recordings, or other copyrighted material contained in your project files.
- You will provide audio files in a format suitable for professional processing (WAV, AIFF, or FLAC preferred at 44.1kHz/24-bit or higher). We may request re-delivery of files if the submitted format is insufficient for quality processing.
- You will provide clear instructions, reference tracks, and any relevant project notes at the time of submission. Incomplete or ambiguous instructions may result in delays or additional revision cycles.
- You will respond to revision requests, approve deliverables, and communicate feedback in a timely manner. Projects abandoned or unresponsive for more than 60 days after delivery may be archived and removed from our active systems.
4. Pricing and Payment
All prices listed on our website represent our standard per-track rates in United States Dollars (USD). Custom quotes may be provided for multi-track projects, album bundles, rush delivery, or specialized services not listed on our standard pricing page. Payment is required in full before final delivery of processed files. We may require a deposit of up to 50% before commencing work on larger projects.
We reserve the right to modify our pricing at any time. Any price changes will not affect projects for which we have already provided a written quote or accepted payment. Accepted payment methods will be communicated at the time of project engagement.
5. Revisions
The number of revisions included in each service tier is specified on our pricing page and in any project-specific agreement. A "revision" is defined as a set of requested changes submitted by the client after receiving the initial or subsequent delivery of processed audio. Revision requests should be specific, actionable, and clearly communicated in writing.
Additional revisions beyond the included allocation may be requested and will be billed at a rate communicated at the time of the request. We reserve the right to decline revision requests that fundamentally change the scope of the original project or require a complete re-approach to the processing.
6. Intellectual Property
You retain all ownership and intellectual property rights to your original audio content. Audionexarithm does not claim any ownership, licensing rights, publishing rights, or royalties on any music or audio content processed through our services. Our work constitutes a service — the engineering processing applied to your content — and does not create any co-authorship, joint ownership, or derivative work claim on our part.
We may retain copies of project files for archival, backup, and quality assurance purposes for up to 90 days following final delivery. We will not distribute, publish, share, sell, or use your audio content for any purpose without your explicit written consent. If we wish to use any of your content for portfolio, demonstration, or promotional purposes, we will request your written permission separately.
7. Confidentiality
We treat all client projects, communications, files, and related information as confidential. We will not disclose any details about your project, unreleased music, or personal information to any third party without your prior written consent, except as required by law. This confidentiality obligation survives the completion or termination of any project engagement.
8. Limitation of Liability
Audionexarithm's total liability arising out of or related to these Terms or any services provided under them shall not exceed the total amount paid by the client for the specific project giving rise to the claim. In no event shall Audionexarithm be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, business opportunities, or goodwill, regardless of the cause of action or the theory of liability.
We make no warranty, express or implied, regarding the commercial success, chart performance, streaming numbers, or audience reception of any music or audio content processed through our services. Our services are limited to audio engineering, and the commercial outcome of any release depends on numerous factors beyond our control.
9. Cancellation and Termination
Clients may cancel a project at any time by providing written notice. If cancellation occurs before any work has been performed, a full refund will be issued for any payments made. If cancellation occurs after work has commenced, refund eligibility will be determined in accordance with our Refund Policy. We reserve the right to terminate a project engagement at any time if we reasonably determine that the client has violated these Terms, provided materially misleading information, or engaged in conduct that is abusive, threatening, or otherwise unacceptable.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Solano County, California, and you consent to the personal jurisdiction of such courts.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after any changes to these Terms constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically for any updates.
